It owns the New York Stock Exchange, and other futures and commodity exchanges for energy, interest rates, and farm and metal commodities, such as the Brent oil contract. It also ownsoperates six clearing houses. ICE Mortgage Technology, which sells software that banks and lenders use to processmake home loans and that servicers use to manage them. ICE makes money from trading and clearing fees, listing fees, market data subscriptions, and software fees.
- Thesis
- The market still prices ICE's partly as a mortgage company. The 2023 Black Knight purchase made mortgage technology business still carries the memoryabout one fifth of two weak years after mortgage rates rosenet revenue, and that revenue moves with US home-loan volume fell. Some investors treat it as a permanent drag, especially after the large 2023 Black Knight purchase. That view undercounts how much of ICE's revenue now comesMortgage rates rose again from steadier exchange trading and data subscriptionsJuly 2026. These keep growing regardless of the mortgage cycle. For the mortgageThe Freddie Mac 30-technology discountyear rate went from 6.43% on July 2 to close7.40% on October 8, origination2026, and the Federal Reserve raised its target rate in September. Higher rates keep refinance volume need to keep climbing aslow and delay the mortgage rates easerecovery that the Black Knight purchase depends on. ICE's own Mortgage Monitor reports have shown this happening through mid-2026. The pending MarketAxess dealpurchase adds a second, unrelated question. MarketAxess shareholders voteICE will pay about $6.0 billion in cash with new debt while it still integrates Black Knight, and investors ask whether it can integrate the deal well and reduce the debt on October 29plan. For the gap to close, three things must be true. Exchange and data revenue must keep growing; these two segments gave about 80% of net revenue in the first half of 2026, and ICE expectsrecurring revenue grew 8% in the second quarter. Mortgage technology revenue must keep growing with higher rates, as it did in 2024 and 2025. The MarketAxess deal tomust close in the first half of 2027. The question is whether ICE can integrate a second large acquisition well while still digesting Black Knight, without adding execution riskand gross leverage must fall from about 3.4 times to 3.0 times or excess debtless within 18 to 24 months after closing. If mortgage volumes keep recovering andThe first evidence comes on October 29, 2026, with the third quarter report, the MarketAxess deal closesshareholder vote and integrates smoothlythe end of the US antitrust waiting period. If these checks pass, the discountgap can close over the next four to six quarters. If mortgage rates rise againstay high for longer or the MarketAxess integration proves harder than planneddeal has antitrust delays, the market's caution would prove correct, and the gap could persistcan stay into 2027 or beyond2028.
- Risks
- Mortgage technology segment revenue depends on US mortgage origination volume, which moves with interest rates that ICE does not control. A new riseThe Freddie Mac 30-year rate rose from 6.43% in mortgageJuly 2026 to 7.40% in October 2026, which keeps refinance volume low. If rates could slowstay high, the growth of this segment's recovery can slow or stop.
ICE is still integrating Black Knight, bought in 2023, while it also works to close the roughlypurchase of MarketAxess for about $6.0 billion equity-value purchase of MarketAxess announced in 2026cash. MarketAxess shareholders vote on the deal October 29, 2026, and ICE expects the deal to close in the first half of 2027, subject to thatafter the shareholder vote and the antitrust clearanceand other regulatory approvals. RunningThe deal adds about $6 billion of debt, and two large integrations at once raisesthe same time raise execution risk and adds debt.
Exchange trading revenue depends on trading volume and market volatility, which change from quarter to quarter. A calm market with lower volume could reduce this revenue.

Intercontinental Exchange funds itself with unsecured debt of the parent company and with cash from its exchanges, data and mortgage software. The MarketAxess purchase will raise gross leverage to an expected 3.4 times adjusted EBITDA at closing, so debt reduction will compete with buybacks for free cash flow through about 2028. Cash is unrestricted cash. At June 30, 2026, the debt was $18.6 billion of senior notes and $1.2 billion of commercial paper. The notes had a weighted average maturity of 13 years and an average cost of 3.7%. Cash is unrestricted cash. The largest numbers on the balance sheet are $114.6 billion of cash margin deposits and guaranty funds at its six clearing houses. For this, it soldICE priced $3.75 billion of new notes on August 2011, 2026, which it must redeem if and issued them on August 20. If the deal does not close by July 29, 2027, or by a later date up to July 29, 2028 while the antitrust review continues, ICE must redeem the 2033 and 2036 notes, $1. It4 billion in total, at 101%.
