- Company name
- Intercontinental Exchange
- Sector
- Financial exchanges & mortgage technology
- About
- Intercontinental Exchange runs financial exchanges, data services, and mortgage software. It owns the New York Stock Exchange, and other futures and commodity exchanges. It also owns ICE Mortgage Technology, which sells software that banks and lenders use to process home loans. ICE makes money from trading fees, market data subscriptions, and software fees.
- Thesis
- ICE's mortgage technology business still carries the memory of two weak years after mortgage rates rose and home-loan volume fell. Some investors treat it as a permanent drag, especially after the large 2023 Black Knight purchase. That view undercounts how much of ICE's revenue now comes from steadier exchange trading and data subscriptions. These keep growing regardless of the mortgage cycle. For the mortgage-technology discount to close, origination and refinance volume need to keep climbing as mortgage rates ease. ICE's own Mortgage Monitor reports have shown this happening through mid-2026. The pending MarketAxess deal adds a second, unrelated question. MarketAxess shareholders vote on October 29, 2026, and ICE expects the deal to close in the first half of 2027. The question is whether ICE can integrate a second large acquisition well while still digesting Black Knight, without adding execution risk or excess debt. If mortgage volumes keep recovering and the MarketAxess deal closes and integrates smoothly, the discount can close over the next four to six quarters. If mortgage rates rise again or the MarketAxess integration proves harder than planned, the market's caution would prove correct, and the gap could persist into 2027 or beyond.
- Risks
- Mortgage technology segment revenue depends on US mortgage origination volume, which moves with interest rates ICE does not control. A new rise in mortgage rates could slow the segment's recovery.
ICE is still integrating Black Knight, bought in 2023, while it also works to close the roughly $6.0 billion equity-value purchase of MarketAxess announced in 2026. MarketAxess shareholders vote on the deal October 29, 2026, and ICE expects the deal to close in the first half of 2027, subject to that vote and antitrust clearance. Running two large integrations at once raises execution risk and adds debt.
Exchange trading revenue depends on trading volume and market volatility, which change from quarter to quarter. A calm market with lower volume could reduce this revenue.
- Balance sheet
- Intercontinental Exchange funds itself with unsecured debt of the parent company and with cash from its exchanges, data and mortgage software. At June 30, 2026, total debt was $19.8 billion, against $1.1 billion of unrestricted cash. The debt was $18.6 billion of senior notes and $1.2 billion of commercial paper. The notes had a weighted average maturity of 13 years and an average cost of 3.7%. In H1 2026, operating income of $3.06 billion covered interest expense of $408 million about 7.5 times. The largest numbers on the balance sheet are $114.6 billion of cash margin deposits and guaranty funds at its six clearing houses. This money belongs to clearing members and has an equal liability, so it does not fund ICE and is not its cash. ICE will pay about $6 billion in cash for MarketAxess. For this, it sold $3.75 billion of new notes on August 20, 2026, which it must redeem if the deal does not close. It also arranged a $2.0 billion delayed draw term loan and more commercial paper, backed by its $3.9 billion revolving credit facility. Moody's and S&P rate the new notes A3 and A- with stable outlooks. ICE expects gross leverage of 3.4 times adjusted EBITDA at closing. Its target is 3.0 times or less within 18 to 24 months. Thus debt reduction will compete with buybacks for free cash flow through about 2028. But the steady recurring revenue supports the A-range rating.
