- About
- Brookfield Corporation is a global investment firm based in Toronto. It grows its value through three parts. The first part owns about 7374% of Brookfield Asset Management (BAM), a public asset manager with more than, directly and through its insurance arm. BAM had $1 trillion under management672 billion of fee-bearing capital at June 30, 2026. The second part is Wealth Solutions, an insurance business with about $191 billion of assets. It invests the money customers pay for annuities and other policies. The third part is a group of operating businesses in renewable power, infrastructure, private equity, and real estate. In 2026, Brookfield agreedshareholders approved a plan to merge its insurance arm back into theput Brookfield Corporation and Brookfield Wealth Solutions under one new parent company, based in Bermuda. The deal is expected to makeclose by the structure simplerend of 2026.
- Thesis
- The market prices Brookfield Corporation below management's own estimate of its worth, called "plan value," for three reasons. First, the structure is hard to value from the outside. It is aA parent company that owns most of a majority stake in a public asset manager, an insurance arm, and a group of operating businesses. Transactions run, and money moves between all of these piecesthem. This complexity is the main reason the market prices the stock below managementIn Q2 2026, $45 billion of BAM's own estimate$77 billion of its worth, called "plan value." A second reason is thatnew capital came from Brookfield's official profitown insurer. Second, reported underofficial IFRS accounting rules, swingsprofit is much morelower and choppier than the distributable earnings figure that management prefersuses. Investors who focus on reported net income seeThird, interest rates went up. The Fed raised rates in September 2026, and the 10-year Treasury yield went above 5%. About 45% of plan value is listed holdings at market prices, and these prices fall when long rates rise. Higher rates also slow the asset sales that pay carried interest, and they lower real estate values. Plan value has also come in below the path of the year before for three years in a weakerrow, choppier business thanand the cash results suggesttarget date moved from 2030 to 2031. For the gap to close, the pending merger ofwith Brookfield Wealth Solutions, the insurance arm, back into the parent needs to must close. It also needs to actually simplify by the structure, as intendedend of 2026. Fee-bearing capital andDistributable earnings per -share distributable earnings need tomust keep compoundinggrowing near their recent pace12% a year or more. Management's own plan-Realized carried interest must grow from about $0.5 billion a year toward about $1 billion a year by 2027 or 2028. Plan value must grow each year without another move of the target date, already pushed back one year to 2031, cannot slip again. Brookfield's large AI data center and nuclear power investments also need to move from announcements into assets that earn moneylong rates must stop rising. The next testevidence comes at BAM's Q3 report on November 6, 2026 earnings, Brookfield's Q3 report in mid-November 2026. The insurance, the merger is expectedclose, the change to US accounting rules on January 1, 2027, and the next Investor Day, around September 2027, which shows plan value at June 30, 2027. The gap can close bypartly over the end of 2026next four to six quarters if rates stop rising. Because Brookfield'sBut the multi-layer structure is unlikely to disappear evenstays after the merger, so part of thisthe discount may persist beyond 2031, not just until the next plan-value milestonenever close.
- Risks
- Higher interest rates can lower Brookfield's value in several ways. About 45% of plan value is listed holdings, such as BAM, at market prices. BAM's share price fell about 19% from mid-August to late September 2026 as rates rose. Higher rates also lower real estate values, slow the asset sales that pay carried interest, and make new debt more expensive. Brookfield's real estate business has $64.8 billion of property debt with an average term of only 2 years.
Brookfield's structure has many layers: thea parent company, a majority-owned asset manager, an insurance arm, and several other listed affiliates, with transactions. Money moves between them. This complexity makes the business hard to analyzeIn Q2 2026, and it is a likely reason the stock trades at a persistent discount to management$45 billion of BAM's own estimate$77 billion of its worth.
Managementnew capital came from Brookfield's own insurer, and the insurer holds $140 per share plan-12.2 billion of investments in related Brookfield entities. This makes growth figures harder to judge from the outside.
Plan value target already slipped back by onehas come in below the path of the year before for three years in a row, and the $140 target date moved from 2030 to 2031, and. About 40% of the estimate itself fell slightly, from $68 to $67, overplanned increase assumes that the value of the BAM stake grows 18% a year to June 30, 2026. A further slip would weaken the case that the company can keep compounding value at its planned pace.
Brookfield's official IFRS net income is farmuch lower and more volatile than the distributable earnings figure that management highlights: $1. Investors who focus4 billion against $6.2 billion over the 12 months to June 30, 2026. Brookfield changes to US accounting rules on IFRS profit may see a business that looks weaker than its cash-based results suggestJanuary 1, 2027.
Regulators This breaks the comparison with past years.
AI demand drives much of BAM's growth plan through data centers, power, and nuclear projects. Most of this money comes from outside critics have raised concerns about transactions betweeninvestors in Brookfield funds, not from Brookfield's asset-management funds and its own insurance companiesbalance sheet. A regulatory finding against these transactions could force changes to how Brookfield runs its insurance business.
Brookfield has announced largeBut if AI data centerspending slows, BAM's fees, carried interest, and nuclearshare price can fall. The Kentucky AI campus still needs a state power projectsapproval, worth tensthe $25 billion Bloom Energy deal is only a framework, and no named large tech customer contract has been disclosed for either.
A trust controls the Class B shares and elects half of billionsthe board, and this continues at the new Bermuda parent company. 20.65% of dollarsClass A votes were against the merger. MostMinority shareholders have limited influence.
Some parts depend on consumers: about $20 billion of this is still inretail real estate and annuity sales at the financing stageinsurer. These projects must moveRetail properties are 97% leased, but fixed-index annuity sales fell 35% from announcements to earning assets before they add to Brookfield's resultsa year earlier in Q2 2026. These parts are a small share of total earnings.
