## In short

The market prices Vipshop for falling sales in a weak Chinese consumer market, and a return to revenue growth in 2027 with steady margins can close part of the gap.

## Themes and gap

- Themes: China and geopolitics (china-geopolitics), Weak consumer (weak-consumer)
- Gap type: Slow (slow)
- Why: Revenue must return to growth through 2027, and the discount on Chinese companies listed in the United States will probably stay.

## About

Vipshop sells discounted branded goods online in China, mostly apparel, shoes, bags and home goods. It sells through the Vipshop app, the vip.com website, a WeChat mini-program and stores on other platforms. It also operates Shan Shan Outlets, a chain of physical outlet malls. Revenue was RMB105.9 billion in 2025. It had 42.3 million active customers in Q2 2026, and its paid SVIP members are its most valuable customers. Its headquarters are in Guangzhou. Each American Depositary Share (ADS) equals 0.2 of a Class A ordinary share. Vipshop is a foreign private issuer and files annual reports on Form 20-F.

## Thesis

The market prices Vipshop for weak consumer demand in China and for a business that does not grow. Revenue fell to RMB24.7 billion in Q2 2026 from RMB25.8 billion, active customers fell to 42.3 million from 43.5 million, and total orders fell to 182.4 million from 193.0 million. Vipshop guides Q3 2026 revenue down 5% to 0% year over year. Non-GAAP net income fell to RMB392.2 million in Q2 from RMB2.1 billion, mostly because of a one-time withholding tax expense of RMB1.56 billion on past dividends. The stock also carries the discount that the market applies to many Chinese companies listed in the United States. For the gap to close, three things must be true. Revenue must stop falling and return to growth in 2027, with a stable number of active customers. The non-GAAP operating margin must stay near the 8.1% of Q2 2026. Vipshop must keep returning cash, as it did with about US$400 million of dividends and buybacks in the first half of 2026, and use its new US$1.0 billion buyback program. The Q3 2026 report, estimated for about November 25, 2026, shows whether revenue meets the guidance. The Q4 2026 report in early 2027 gives the view for 2027. If these checks pass, part of the gap can close over the next four to six quarters, but the discount on Chinese companies will probably stay. The main reason it may not close is a longer period of weak consumer spending in China.

## Checkpoints

- Nov 25, 2026 (estimate): Q3 2026 earnings: revenue against guidance. Status: Pending. Watch: Revenue within or above the guided RMB20.3 billion to RMB21.4 billion with stable active customers passes; revenue below the guidance or a large fall in customers fails.
- Feb 2027 (estimate): 2026 results, dividend and 2027 view. Status: Pending. Watch: Revenue growth in Q4 2026 or guidance for growth in Q1 2027, with an annual dividend at least as large as for 2025, passes; continued revenue decline fails.

## Balance sheet

- Cash: CN¥33.5B
- Debt: CN¥11.0B
- Net cash: CN¥22.5B
- Debt due within 12 months: CN¥11.0B

Vipshop has more cash than debt. At June 30, 2026, it had cash and cash equivalents of RMB29.2 billion, restricted cash of RMB0.6 billion and short-term investments of RMB3.6 billion. Its only borrowings were short-term loans of RMB11.0 billion, up from RMB5.8 billion at December 31, 2025, so net cash was about RMB22.5 billion. Free cash flow was RMB7.2 billion for the 12 months to June 30, 2026, although Q2 2026 had an outflow of RMB749 million. In June 2026, Vipshop raised gross proceeds of about RMB7.70 billion when it listed a commercial REIT that holds two Shan Shan outlets, and it kept 49% of the units.

## Recent events

- 2026-08-25: Vipshop reported Q2 2026 results. Revenue was RMB24.7 billion, down from RMB25.8 billion, and GMV was RMB50.6 billion. Net income rose to RMB4.3 billion because of a one-off gain of RMB5.79 billion from the listing of a commercial REIT. Non-GAAP net income fell to RMB392.2 million because of a one-time withholding tax expense of RMB1.56 billion on past dividends. Vipshop guided Q3 2026 revenue of RMB20.3 billion to RMB21.4 billion.
- 2026-08-20: The board authorized a new share buyback program of up to US$1.0 billion for 24 months, which starts when the current program is fully used. The current program had US$216.9 million left at June 30, 2026.
- 2026-05-21: Vipshop reported Q1 2026 results. Revenue rose 1.2% to RMB26.6 billion, GMV rose 8.6% to RMB56.9 billion and net income rose 13.6% to RMB2.2 billion. Active customers rose 0.9% to 41.7 million.
- 2026-02-26: Vipshop reported 2025 results. Revenue was RMB105.9 billion and non-GAAP net income was RMB8.7 billion. It returned US$944.1 million to shareholders in 2025 and declared an annual dividend of US$0.62 per ADS, paid in April 2026.

## Risks

- High: Consumer spending in China is weak, and Vipshop competes with large e-commerce platforms. Revenue, active customers and orders all fell in Q2 2026, and the company guides Q3 2026 revenue down 5% to 0%.
- Medium: Tax rules can change results. In Q2 2026, Vipshop accrued a withholding tax expense of RMB1.56 billion on past dividends from mainland China to Hong Kong, which cut non-GAAP net income to RMB392.2 million.
- Medium: Vipshop operates in China and its ADSs trade in the United States. Changes in Chinese rules or in relations between the two countries can lower the value of the ADSs or limit trading in them.
- Low: Vipshop now holds 49% of a commercial REIT that owns two Shan Shan outlets. Lower outlet traffic or property values can reduce the value of this holding.
