## In short

Investors fear that AI shrinks agency work while Omnicom combines with IPG, so steady organic growth and the planned cost synergies must hold for years to close the gap.

## Themes and gap

- Themes: AI disruption risk (ai-disruption), New management (management-change), High debt (leverage)
- Gap type: Slow (slow)
- Why: The fear that AI shrinks agency work has no single test, so only years of positive organic growth and IPG synergies can close the gap.

## About

Omnicom is a global marketing and advertising holding company. It owns agency networks for media buying, creative advertising, health marketing, public relations, branding and events, such as OMD, PHD, BBDO, McCann and TBWA. Omnicom bought The Interpublic Group (IPG) on November 26, 2025, and became the largest company in its industry. Clients pay fees and commissions for strategy, creative work, media planning and buying, data and commerce services. Integrated Media is the largest discipline, at 52.5% of Core Operations revenue in Q2 2026. The United States gave 59.0% of that revenue. Omni, its data and technology platform, includes Acxiom and Flywheel and supports all of its agencies.

## Thesis

The market fears that AI will shrink the work that clients pay agencies to do. AI tools can make ads, and large platforms can plan and buy media with automation, so investors expect lower fees and fewer staff hours to bill. The large IPG purchase adds a second question: can Omnicom combine two large companies without the loss of clients and key people? Omnicom also used debt and cash to buy back shares, so net debt rose to $6.7 billion on June 30, 2026. For the gap to close, three things must be true. Organic growth in Core Operations must stay positive after the 6.1% of Q2 2026. Cost synergies must reach the $900 million planned for 2026 and the $1.3 billion planned for 2027, and the adjusted EBITA margin of Core Operations must stay near the 17.8% of Q2 2026. Omnicom must also win more new business than it loses, as its media group did in the first half of 2026. The Q3 2026 report, expected in late October 2026, gives the next test. The Q4 report in February 2027 shows the full-year synergies, and the $5 billion buyback should end by April 2027. Because the AI fear has no single date to resolve it, the gap can close only slowly over the next two to three years of steady growth.

## Checkpoints

- Oct 27, 2026 (estimate): Q3 2026 results: organic growth and synergies. Status: Pending. Watch: Positive organic growth in Core Operations and a higher adjusted EBITA margin than a year earlier pass; a fall in organic revenue fails.
- Feb 2027 (estimate): Q4 2026 results: full-year synergies. Status: Pending. Watch: Cost synergies near the $900 million plan for 2026 and positive organic growth for the full year pass; synergies well below plan or lower organic revenue fails.
- Apr 2027 (estimate): End of the $5 billion share buyback. Status: Pending. Watch: Completion of the buyback by April 2027 while net debt stays near the mid-2026 level passes; a stop to the buyback or a large rise in debt fails.

## Balance sheet

- Cash: $3.3B
- Debt: $10.2B
- Net debt: $6.9B
- Net debt / EBITDA: 1.5× (low)
- Interest cover: 6.5×
- Undrawn credit line: $3.5B, to November 2030
- Debt due within 12 months: $49M
- Last debt due: 2048
- Ratings: S&P BBB+, Moody's Baa1

Omnicom funds itself with unsecured senior notes in US dollars, euros and pounds, including notes that it took over from IPG. At June 30, 2026, it had $10.2 billion of notes and $48.8 million of short-term bank debt. In March 2026, it issued $1.7 billion of new US notes and €600 million of euro notes and repaid $1.4 billion of notes due in 2026. In the first half of 2026, it used $3.0 billion for share buybacks, including a $2.5 billion accelerated buyback, so net debt rose to $6.7 billion from $2.3 billion on December 31, 2025. Interest cover is operating income divided by interest expense for the first half of 2026. On its reported EBITDA, which includes IPG only from November 26, 2025, and merger costs, net debt was 4.1 times EBITDA for the 12 months to June 30, 2026. The net debt to EBITDA ratio shown is on pro forma adjusted EBITDA, as the credit agreement defines it. The leverage ratio of the credit facility was 2.4 times, against a limit of 3.5 times. Cash usually falls in the first half of the year and rises in the fourth quarter because of the working capital cycle of media payments. The ratings are dated June 30, 2026.

## Recent events

- 2026-10-06: Omnicom said that Andrew Castellaneta retired as Chief Accounting Officer on October 1, 2026. The board named Jordan Farnam, who joined Omnicom in January 2024, as Chief Accounting Officer. Omnicom said that the change was not the result of a disagreement.
- 2026-09-21: Omnicom said that its media group won $3.3 billion in new billings in the first half of 2026, the most of the five global media groups, according to the research firm COMvergence. Wins included Adidas, Bloomberg, IBM and Royal Caribbean.
- 2026-09-09: Troy Ruhanen, CEO of Omnicom Advertising, decided to retire after the integration of the creative networks of Omnicom and IPG. Andrew Robertson, Chairman of BBDO Worldwide, became CEO of Omnicom Advertising.
- 2026-08-28: Omnicom Media launched Hearts United, a new media agency that combines Hearts & Science and Mediahub.
- 2026-07-28: Omnicom reported Q2 2026 results. Revenue was $6.6 billion. Core Operations revenue grew 6.1% organically to $6.0 billion, and its adjusted EBITA margin rose to 17.8% from 15.9%, mainly from cost synergies. Diluted EPS was $2.08, and adjusted diluted EPS rose 29% to $2.65. Omnicom had bought back $3 billion of shares in 2026 and plans to finish the $5 billion program by April 2027.
- 2026-06-29: IBM said that it will appoint Omnicom Media as its global media agency of record.

## Risks

- High: AI tools can make ads and plan media at a lower cost, and large platforms offer automated media buying to advertisers. If clients do more of this work themselves, agency fees and staff hours can fall.
- Medium: Omnicom must still combine the people, systems and offices of IPG, bought in November 2025. Its plan has $1.5 billion of cost synergies by 2028, mostly from fewer staff. A loss of key people or large clients during this work can reduce revenue.
- Medium: Clients cut marketing budgets first when the economy slows. Pharma and health, food and beverage, and auto clients gave 41% of revenue in Q2 2026, and tariffs or a weaker consumer can reduce their spending.
- Low: Omnicom used cash and new debt to buy back shares, and net debt rose to $6.7 billion on June 30, 2026. Lower profits would make this debt harder to reduce.
